LOUD Women Nation Membership Program Agreement

This agreement between Adrianna Foster Co / LOUD Nation LLC, (“LOUD Women Nation”), and You, the undersigned or electronically confirmed applicant (“Participant” or “Member” or “You”). By signing or electronically confirming this Agreement, You acknowledge that You have read this Agreement.

1. Program Description: The Coach agrees to provide the Member with a LOUD Women Nation Mastermind Program consisting of 12 months of coaching and support services, including in-person meetings, online courses, written blogs, and other related activities as described on the Coach’s website.

2. Eligibility: The LOUD Women Nation Membership is open to women only and does not discriminate based on race, age, or religion.

3. Payment: The Member shall pay the rates for the membership she decides, as outlined on the Coach’s website, in accordance with the payment schedule set forth on the Coach’s website. All payments are non-refundable

4. Attendance: It is the Member’s responsibility to schedule and attend all meetings, events, gatherings, and trainings offered as part of the LOUD Women Nation Program.


5. Meditation and Relaxation Techniques: The Coach may utilize different forms of meditation and relaxation techniques during the trainings and the Member agrees that it is safe to participate.


6. Term: This agreement shall commence on the date of signing and shall continue for a period of 12 months.


7. Non-Transferable: The LOUD Women Nation Program is for the sole use of the Member and is non-transferable.


8. Confidentiality: The Coach shall keep confidential all information disclosed by the Member during the course of the LOUD Women Nation Program, except as required by law.


9. Termination: Either party may terminate this agreement at any time upon written notice to the other party. Upon termination, the Coach shall have no further obligation to provide the LOUD Women Nation Program services. If the Member chooses to terminate the agreement before the 12 month period, will still be responsible for the total amount due of the program. LOUD Women Nation will provide no refunds for any cancellation.

10. RELEASE STATEMENT: I hereby authorize Adrianna Foster, C.Ht to use meditation and hypnosis as a technique utilized on the trainings, and for the future purposes that I may request. I understand that the success of my work depends greatly on my own ability and desire to effect change in myself. I understand that the results of my sessions and meetings depend greatly on my own serious participation, and that Adrianna Foster, C.Ht / Adrianna Foster co. cannot offer any guarantee of the success of my program. I am aware, however, that Adrianna Foster, C.Ht will do everything in her power to ensure my success. I also understand that I have other choices from which to seek assistance regarding my specific concerns, and I have chosen LOUD Women Nation at this time. I understand that during the hypnosis session, Adrianna Foster, C.Ht may touch me as an anchoring technique. I hereby give my permission for such touch to take place during my session.

11. Hypnosis sessions and meetings/gathering sessions: The undersigned Member acknowledges that he or she has been informed of the following information: Services provided utilize induction of hypnosis and methods and principles used to help Members discover their inner creative abilities to develop positive thinking and feeling and to transform undesirable habits and behavior patterns. The session goals are to achieve freedom from restrictive thought and belief systems, to assist in solving personal problems, develop motivation and achieve goals. Member may be taught the use of self-hypnotic techniques to assist in achieving goals and resolving issues that have been mutually agreed upon by Member and Hypnotist. Hypnosis is not a state of sleep, but is a natural state of mind that can produce extraordinary levels of relaxation of mind, body and emotions. The hypnotist utilizes interviews, discussion and hypnotic methods dealing with underlying issues whenever appropriate, with the goal to achieve effective and lasting results. Services to be provided do not include the practice of medicine. Hypnotist is not a licensed physician. I give my full consent to receiving Hypnosis sessions from Adrianna Foster C. Ht. I understand that results vary from person to person, and the agreement to work on the issues or problems presented by me, using whatever model or models are appropriate to my situation, in no way implies or guarantees a cure of the said issues or problems. I understand that Hypnosis, or any other services provided by Adrianna Foster C.Ht., is not a replacement for medical treatment, psychological or psychiatric services or the appropriate Counseling. I also understand that Adrianna Foster C.Ht. does not treat, prescribe for, or diagnose any condition. I have been advised that I am free to terminate any or all sessions at any time. I have agreed to participate in each session to the best of my ability. I have accurately and truthfully answered the questions on this Consent Form and provided background information as requested I, the undersigned Member acknowledge that I have been advised of the foregoing information. I agree to the terms stated above.
    
    
    

STUDENT RELEASE OF LIABILITY , PHOTO/IMAGE RELEASE, AND    CONFIDENTIALITY AGREEMENT

12. You agree that you will be bound by the provisions of this Agreement, Adrianna Foster Co/ LOUD Nation LLC Policies, as now in effect and as from time to time amended by Adrianna Foster co / LOUD Nation LLC and such rules as may from time to time be posted at an event, or www.LOUDwomennation.com, or on Adrianna Foster’s / LOUD Women Nation page, all of which are incorporated by reference into this Agreement.

Notice – By signing this document you may be waiving certain legal rights, including the right to sue.

Release and Waiver of Claims; Assumption of the Risk; Indemnification Agreement

13. In consideration for being allowed to use the facilities, participate in classes, receive instruction at any location, participate in retreats, workshops, classes, trainings, and/or parties (group and/or personal) and participate in other activities (collectively the “Activities”) provided by LOUD Women Nation LLC, the Participant, do hereby agree, to the fullest extent permitted by law, as follows:

1) TO WAIVE ALL CLAIMS that You have or may have against LOUD Women Nation arising out of the Participant’s participation in the Activities or the use of any equipment provided by LOUD Women Nation(“Equipment”), including while receiving instruction and/or training;

2) TO ASSUME ALL RISKS of participating in the Activities and using the Equipment, even those caused by the negligent acts or conduct of LOUD Women Nation, its owners, affiliates, operators, employees, agents, and/or officers. The risks that Participant is agreeing to assume include the risk that any injury may be caused by physical conditions at the class location or at any premises in which the Activities are taught or held or by the negligence of LOUD Women Nation, its owners, affiliates, operators, employees, agents, and/or officers, by Participant or by other students. The Participant and his/her legal guardian(s) understand that there are inherent, hazardous risks of participating in the Activities and using the Equipment, which may be both foreseen and unforeseen and may include serious physical injury and death;

3) TO RELEASE LOUD Women Nation, its agents, employees, managers, representatives, officers, directors, independent contractors, attorneys, partners, insurers, heirs, predecessors-in-interest, advisors, successors and assigns (hereinafter, the “Releasees”) from all liability for any loss, damage, injury, death, or expense that Participant (or his/her next of kin) may suffer, arising out of his/her participation in the Activities and/or use of the Equipment, including while receiving instruction and/or training. Participant and his/her legal guardian(s) specifically understand that they are releasing any and all claims that arise or may arise from any negligent acts or conduct of LOUD Women Nation, its owners, affiliates, operators, employees, agents, and/or officers, to the fullest extent permitted by law. Participant agrees to never institute, prosecute, or in any way aid in the institution or prosecution of any claim, suit, demand, action, or cause of action against Releasees for damages, expenses, costs, loss, injury of any kind or nature, including but not limited to, damages to persons or property, or both, whether developed or undeveloped, foreseen or unforeseen, known or unknown, past, present or future, that may be sustained as a direct or indirect consequence of Participants participating in any of the Activities or use of Equipment. However, nothing in this Agreement shall be construed as a release for conduct that is found to constitute gross negligence or intentional conduct; and

4) TO INDEMNIFY LOUD Women Nation, its owners, affiliates, operators, employees, agents, and/or officers, from all liability for any loss, damage, injury, death, illnesses, or expense that Participant (or his/her next of kin) may suffer, arising out of participation in the Activities and/or use of the Equipment, including while receiving instruction and/or training. You agree to indemnify the Releasees, and any of them, to the maximum extent allowed by law, for any cost, expense (including reasonable attorneys’ fees and costs), and loss caused in any way by You. This Hold Harmless Agreement is not in derogation of, but supplements, any common law rights to indemnification to which LOUD Women Nation, its legal representatives, successors and assigns may have. You acknowledge that this Agreement is binding on You and on Your successors and assigns.

14. UNDER NO CIRCUMSTANCES SHALL LOUD WOMEN NATION OR ANY OF ITS AFFILIATES OR AGENTS BE LIABLE TO PARTICIPANT FOR INDIRECT, INCIDENTAL, CONSEQUENTIAL, SPECIAL OR EXEMPLARY DAMAGES ARISING FROM OR RELATING TO THIS AGREEMENT, EVEN IF IT HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES, AND IN NO EVENT SHALL LOUD WOMEN NATION’S TOTAL LIABILITY TO PARTICIPANT EXCEED THE AMOUNT PAID BY PARTICIPANT FOR ACTIVITIES(AS DEFINED ABOVE) UNDER THIS AGREEMENT.

Personal Responsibility

15. You, the Participant, certify that You have no medical, physical, or mental or emotional health conditions that would affect, hinder or precludes You from participating in the Activities and that You are not participating against medical advice. You are responsible for notifying LOUD Women Nation of any changes to Your health, which could affect Your ability to exercise in a reasonably safe and healthy manner.

16. In the event emergency medical aid/treatment is required due to illness or injury, You authorize LOUD Women Nation to secure and retain medical treatment and transportation if needed, at Your cost, and release Your records upon request to the authorized individual or agency involved in the medical emergency treatment.

17. You understand that Your participation in the Activities is voluntary and further understand that You have the opportunity to inspect LOUD Women Nations Equipment and facilities before any participation.

18. If you have a history of, or are currently experiencing any of the following conditions: bipolar disorder, schizophrenia, PTSD, psychosis, or any other psychiatric condition or emotional crisis requiring hospitalization, You agree not to attend an LOUD Women Nation Activities. You are fully responsible for Your physical, emotional and spiritual well-being before, during, and after an LOUD Women Nation event, workshop or class. You are voluntarily participating in the Activities with knowledge of the potential of unusual events and hereby agree to accept any and all risks of harm.

19. In joining LOUD Women Nation Activities, You agree to cultivate a safe space in which all can play and explore freely. You agree to acknowledge, address, and be accountable for Your own trauma history and to seek help if necessary. You understand that LOUD Women Nation and Adrianna Foster are not licensed psychotherapists and do not provide mental health or medical care to You.

20. You understand that if You are participating in Activities after normal business hours, there may be few or no staff members of LOUD Women Nation on the premises, which could affect and/or eliminate LOUD Women Nation’s ability to provide assistance in case of an emergency.

21. You understand that You are obligated to follow the rules of Activities and that You can minimize Your risk of injury by doing so and through the exercise of common sense and by being aware of Your surroundings.

22. If, while participating in Activities, You observe any unusual hazard or condition, which You believe jeopardizes Your personal safety or that of others, You will remove yourself from participation in the Activities and immediately bring said hazard or condition to the attention of LOUD Women Nation.

23. COVID-19 Assumption of Risk, Waiver of Liability and Indemnification

24. The novel coronavirus, COVID-19, has been declared a worldwide pandemic by the World Health Organization. COVID-19 is believed to spread mainly from person-to-person contact. LOUD Women Nation cannot guarantee participants will not become infected when gathering at events or on hotel grounds or participating in Activities. By completing this waiver, you are acknowledging that an inherent risk of exposure to COVID-19 exists in any public place where people are present. By attending this event, you and any guests voluntarily assume all risks related to exposure to COVID-19 and agree not to hold LOUD Women Nation or any of their affiliates, directors, officers, employees, agents, contractors, or volunteers liable for any illness or injury.

25. In consideration for receiving permission to enter and remain at LOUD Women Nation Activities, You hereby acknowledge and agree to the following:

1. Assumption of Risk. You understand the hazards of COVID-19. You agree that you are personally responsible for your own safety and actions while attending the event, workshop and/or class. You agree to comply with all LOUD Women Nation policies and rules, including but not limited to LOUD Women Nation rules, guidelines, signage, and instructions. Notwithstanding the risks associated with COVID-19, which You readily acknowledge, You hereby willingly choose to participate in the event, workshop and/or class.

2. Waiver and Release of Liability. With full awareness and appreciation of the risks involved, You release, waive, and discharge LOUD Women Nation, its officers, agents, independent contractors, affiliates, employees, successors, and assigns (collectively the “Released Parties”) from any and all liability, claims, demands, actions, and causes of action whatsoever, directly or indirectly arising out of or related to any loss, damage, or injury, including death, that may be sustained by You related to COVID-19 whether caused by the negligence of the Released Parties, any third-party attending the event or on the premises, or otherwise, while participating in Activities while in, on, or around the premises. You further agree not to sue the Released Parties.

3. Hold Harmless. You agree to indemnify, defend, and hold harmless the Released Parties from and against any and all claims, demands, suits, judgments, losses or expenses of any nature whatsoever (including, without limitation, attorneys’ fees, costs and disbursements, whether of in-house or outside counsel and whether or not an action brought, on appeal or otherwise), arising from or out of or relating to, directly or indirectly, the infection of COVID-19 and Your attendance of the event, workshop and/or class.

4. You acknowledge and represent that You have read the foregoing Wavier of liability and Hold Harmless Agreement, understand it, and sign it voluntarily; no oral representations, statements, or inducements, apart from the foregoing written agreement, have been made; You are at least eighteen (18) years of age and fully competent; and You execute this agreement for full, adequate and complete consideration fully intending to be bound by the same.

Additional Covenants

26. Confidentiality and Non-Disclosure. You acknowledge that all class content, including but not limited to teaching method, curriculum, discussions, written materials, movements, dance steps, routines, choreography and scenery (the “Proprietary Information”) are the property of LOUD Women Nation and constitute confidential and proprietary business information and trade secrets, the unauthorized disclosure of which will irreparably harm LOUD Women Nation. You agree to keep the Proprietary Information confidential and that you will not disclose the Proprietary Information to anyone without the prior written consent of LOUD Women Nation. You further agree that you will not teach to any third party any of the Proprietary Information, and that you will refer any person wishing to learn any of the Proprietary Information to LOUD Women Nation. You further expressly agree that you will not use the Proprietary Information for the purpose of soliciting any students or employees of LOUD Women Nation or to otherwise compete with LOUD Women Nation.

27. You agree not to photograph, videotape, or record yourself nor any student at any time during any LOUD Women Nation class or event. You agree that your violation of this provision could result in your immediate removal from a class or an event and You will not be refunded any amounts You paid for such class or event. 

28. Image Release. For good and valuable consideration, the receipt of which You hereby acknowledge, You irrevocably grant to LOUD Women Nation and its contractors, affiliates, licensees, and others it may authorize, the right to photograph and/or use Your name, likeness, video image, voice, performance or other copyrightable content, verbal statements, and biographical information, or any portion thereof (the “Material”), without right to inspect or approve, for editorial, commercial, advertising, publicity, or promotional purposes in any media now in existence or later developed, on any distribution platform, including websites, social media, and television. You acknowledge that no representation has been made to You that LOUD Women Nation shall be obligated to use the Material in any way. LOUD Women Nation and/or its contractors shall have sole and total copyright ownership of the Material in perpetuity and throughout the world and You acknowledge that such use shall be without payment of fees, royalties, special credit or other compensation to You. You hereby release LOUD Women Nation and others authorized by LOUD Women Nation to use the Material, from any claims that You have or may have arising out of the use of Your name, likeness, voice, performance, or any other use of the Material, including claims for libel, misappropriation or copyright infringement. If You wish to opt out of this Image Release, you must notify LOUD Women Nation in writing, addressed to info@loudwomennation.com no later than the start of the class or event and you must send a photographic image of Yourself identifying Yourself. This option to opt out of the provisions of this Image Release agreement must be made prior for each class or event of which You wish to opt out of this Image Release.

29. Dispute Resolution. You acknowledge and agree that the terms outlined herein are contractual. Any and all disputes or claims arising out of or in any way related to this Agreement, including without limitation, fraud in the inducement of this Agreement, or relating to the general validity or enforceability of this Agreement, as well as any claims arising out of your participation in Activities provided by LOUD Women Nation shall be submitted to final and binding arbitration before an arbitrator instead of filing a lawsuit in court.

30. Governing Law & Jurisdiction. You agree that this Agreement shall by governed by and interpreted in accordance with the laws of the state of Florida, and the venue for all disputes or other matters relating to this Agreement shall be in Fort Lauderdale. If any provision of this Agreement is held to be unenforceable, each such unenforceable provision shall be excluded from this Agreement, and the balance of the Agreement shall be interpreted as if each such unenforceable provision were excluded; provided, however, that if a provision is held unenforceable because it is excessively broad or unreasonable as to scope or subject, such provision shall continue to be enforced to the extent necessary to be reasonable under the circumstances and consistent with applicable law while reflecting as closely as possible the intent of the parties as expressed herein.

31. This Agreement is the entire agreement between the parties related to the subject matter herein. This Agreement may only be modified by a writing signed by an authorized representative of LOUD Women Nation. The failure of either party to insist upon strict adherence to any provision of this Agreement on any occasion shall not be considered a waiver of such party’s right to insist upon strict adherence to such provision thereafter or to any other provision of this Agreement in any other instance. The relevant LOUD Women Nation entity with whom you have contracted may assign any or all of its rights and obligations under this Agreement to any of its related, parent, affiliated or subsidiary entities.

32. REFUND POLICY – For all membership tiers, programs, classes and any other product sold by LOUD Women Nation / Adrianna Foster Co. will issue NO refunds and NO transfers once the purchase has been made. **No transfer policy – Memberships/Tickets cannot be resold or gifted. A valid ID will be required by all attendees at registration.

33. YOU AGREE THAT YOU HAVE READ AND UNDERSTAND THIS AGREEMENT, YOU UNDERSTAND ITS TERMS, AND YOU KNOWINGLY AND VOLUNTARILY EXECUTE THIS AGREEMENT UNDER YOUR OWN FREE WILL, WITHOUT RELYING ON ANY STATEMENT OR REPRESENTATION OF LOUD WOMEN NATION OR ANY OF THE RELEASEES. YOU AGREE THAT YOU ARE AWARE THAT BY SIGNING THIS AGREEMENT YOU MAY BE WAIVING CERTAIN LEGAL RIGHTS, INCLUDING THE RIGHT TO SUE.
